Minutes and financial records

• A BVI company is required to keep minutes of all meetings of directors and members. It must also keep such accounts and records sufficient to reflect the financial position of the company.

• BVI Government penalties apply for late payment of annual fees and BVI companies would be struck off for non-payment of such fees.

Directors

• Generally, the minimum number of directors of a BVI company shall be one and there shall be no maximum number.
  
  The first directors of the BVI company shall be appointed within 6 months of the date of incorporation of the company.
